• Eligibility: To be eligible for the Affiliate Program, you must typically be an active Member in good standing of the G.Spot C.U.M.M.Unity. Specific eligibility criteria may be updated from time to time.

• Application/Enrollment: Enrollment procedures will be outlined on our Website or within the Community. This may involve an application process or automatic enrollment for certain membership tiers.

• Acceptance: We reserve the right to approve or reject any Affiliate Program application or enrollment in our sole discretion, without providing reasons. We may also terminate your participation at any time for any breach of these Affiliate Terms or the main ForeplAI Factory Terms of Use.

As an Affiliate, you agree to:

• Promote Ethically and Accurately: Promote ForeplAI Factory Services (including the G.Spot C.U.M.M.Unity membership) in a truthful, ethical, and positive manner. You may not make any false, misleading, or exaggerated claims about our Services or potential earnings.

• Compliance with Laws: Comply with all applicable laws, regulations, and guidelines, including but not limited to those related to advertising, endorsements, and consumer protection (e.g., FTC guidelines in the USA requiring clear disclosure of affiliate relationships when promoting).

• Disclosure: You must clearly and conspicuously disclose your affiliate relationship with ForeplAI Factory whenever you promote our Services using your affiliate link. This disclosure should be placed near the link or endorsement.

• No Spamming: You are strictly prohibited from using unsolicited email (spam), unsolicited social media messages, or any other form of unsolicited communication to promote your affiliate links.

• Brand Representation: You may not misrepresent ForeplAI Factory or its brand in any way. You may not use our trademarks or copyrighted material except as expressly permitted by us for promotional purposes.

• Approved Promotional Materials: Use only approved promotional materials provided by ForeplAI Factory or create your own materials that are compliant with these Affiliate Terms and accurately represent our brand and Services.

• Commission Rates: You will earn a commission on qualifying sales of ForeplAI Factory memberships or other designated products/services made through your unique affiliate link. The specific commission rate (e.g., a percentage of the sale price, such as 50% for Founding Members on initial membership sales, or a fixed amount) will be communicated to you upon acceptance into the Program and may be subject to change with notice.

• Qualifying Sales: A "Qualifying Sale" is a sale of a designated ForeplAI Factory Service to a new customer who signs up using your unique affiliate link and completes full payment, and whose purchase is not subject to a chargeback or refund (though our general policy is no refunds).

• Cookie Duration: We use cookies to track sales made through your affiliate link. The cookie duration (e.g., 30, 60, or 90 days) will be specified in the Affiliate Program details. A sale will be attributed to you if the customer clicks your link and makes a qualifying purchase within the cookie duration, provided your cookie is the last affiliate cookie clicked by the customer.

• Impact of Refunds/Chargebacks: Although our general policy is no refunds, in the rare event a refund is issued or a chargeback occurs for a sale on which you earned a commission, that commission will be deducted from your future payouts.

• Payment Schedule: Commissions are typically paid out on a monthly basis, approximately 15 to 30 days after the end of the month in which they were earned, as set forth and made clear on the official affiliate program information site and/or within the membership hub. This allows for necessary processing and verification. Payouts are made provided you meet the minimum payout threshold.

• Minimum Payout Threshold: You must accrue a minimum of $35 USD in commissions before a payout will be issued. If your accrued commissions are below this threshold, the balance will carry over to the next payment period until the threshold is met.

• Payment Method: Payments will be made via the payment method specified by ForeplAI Factory (e.g., PayPal, bank transfer). You are responsible for providing accurate payment details and for any fees associated with your chosen payment method.

• Currency: All commissions will be calculated and paid in USD unless otherwise specified.

• Affiliate Link Responsibility: You are solely responsible for ensuring your unique affiliate link is used correctly by your referrals. We are not responsible for missed commissions due to incorrectly used or untracked links. We will not manually attribute sales or apply commissions to your account if a referral fails to use your link or if the tracking is otherwise unsuccessful due to issues outside of our direct control.

• Tax Information & Compliance: You agree to provide ForeplAI Factory with accurate and complete personal and/or business information, including tax identification numbers (e.g., Social Security Number or Employer Identification Number for U.S. affiliates), as required for us to comply with applicable tax laws and regulations. You acknowledge that you may receive tax forms (such as an IRS Form 1099-NEC for U.S. affiliates who meet the earnings threshold) reflecting the commissions paid to you, and you are solely responsible for reporting and paying all applicable taxes on your affiliate earnings.

• Your Right to Terminate: You may terminate your participation in the Affiliate Program at any time by providing written notice to us.

• Our Right to Terminate: ForeplAI Factory reserves the right to terminate your participation in the Affiliate Program at any time, with or without cause, by providing you with written notice. Grounds for immediate termination without prior notice include, but are not limited to:

  • Violation of these Affiliate Terms or the main ForeplAI Factory Terms of Use.

  • Engaging in fraudulent, unethical, or illegal activities.

  • Misrepresenting ForeplAI Factory or its Services.

  • Generating low-quality traffic or leads.

  • Inactivity for a prolonged period as defined by us.

• Effect of Termination: Upon termination of your affiliate status:

  • You will immediately cease all promotion of ForeplAI Factory Services and remove all affiliate links and promotional materials.

  • You will forfeit any right to future commissions. Commissions earned and accrued prior to the termination date will be paid out according to the regular payment schedule, provided no terms were violated that would lead to forfeiture of such commissions.

  • Your unique affiliate link will be deactivated.

• Termination of Main Membership: If your G.Spot C.U.M.M.Unity membership is cancelled or terminated for any reason, your participation in the B.A.B.E. Affiliate Program and your right to earn commissions will automatically and immediately terminate. If you rejoin the G.Spot C.U.M.M.Unity at a later date, you will not automatically regain your previous affiliate status or commission rates; you may need to reapply or may be subject to then-current affiliate terms and rates.

In addition to other restrictions in these Affiliate Terms, the following activities are strictly prohibited:

• Misleading Advertising: Using any form of deceptive, false, or misleading advertising or promotional methods.

• Keyword Bidding (Branded Terms): Bidding on keywords that include "ForeplAI Factory," "Dee Yearby," "DeNishia Yearby," "G.Spot Business," "G.Spot C.U.M.M.Unity," "D.I.C.K. Vault," "L.A.I.D. Challenges," "B.A.B.E. Membership," or any misspellings or variations thereof in pay-per-click advertising campaigns (e.g., Google Ads) without our express prior written permission.

• Self-Referrals: Using your own affiliate link to purchase ForeplAI Factory Services for yourself or to earn commissions on your own purchases is generally prohibited, unless explicitly stated otherwise.

• Offering Unofficial Incentives: Offering unofficial discounts, bonuses, rebates, or other incentives to encourage purchases through your affiliate link without our prior written approval.

• Cookie Stuffing/Forced Clicks: Using any method to generate artificial clicks or to place affiliate tracking cookies on users' devices without their knowledge or consent.

• Using Malware/Spyware: Distributing or promoting through any means that involve malware, spyware, or other harmful software.

• Infringing on Intellectual Property: Using ForeplAI Factory’s or any third party's intellectual property in an unauthorized manner.

Your participation in the Affiliate Program does not create any employment, partnership, joint venture, agency, or franchise relationship between you and ForeplAI Factory. You are an independent contractor, and you have no authority to bind ForeplAI Factory to any obligation or to make any representations or warranties on our behalf.

ForeplAI Factory reserves the right to modify, amend, or update these Affiliate Terms at any time in its sole discretion. We will notify you of any material changes by posting the revised Affiliate Terms on our Website or by sending you an email. Your continued participation in the Affiliate Program after such modifications become effective will constitute your acceptance of the revised Affiliate Terms. It is your responsibility to review these Affiliate Terms periodically for any changes.

You may gain access to certain confidential information of ForeplAI Factory through your participation in the Affiliate Program. You agree to keep such information confidential and not to disclose it to any third party without our prior written consent, both during and after your participation in the Program.

FOREPLAI FACTORY WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE AFFILIATE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE AFFILIATE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

ALL SERVICES AND PROMOTIONAL MATERIALS RELATED TO THE AFFILIATE PROGRAM ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
