By accessing our Website, registering for an account, or using any of our Services, including becoming a member of the G.Spot C.U.M.M.Unity, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein or posted on the Website. These Terms constitute a legally binding agreement between you and ForeplAI Factory.

If you are using the Services on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on behalf of that organization or entity and bind them to these Terms (in which case, the references to "you" and "your" in these Terms, except for in this sentence, refer to that organization or entity).

• "Service(s)" refers to the ForeplAI Factory website, the G.Spot C.U.M.M.Unity membership community, the D.I.C.K. Vault, L.A.I.D. Challenges, B.A.B.E. Membership program, and all related content, materials, products, and support provided by ForeplAI Factory.

• "Website" refers to foreplaifactory.com and all its subdomains and pages.

• "Content" means all information, text, graphics, images, video, audio, software, data compilations, and other materials available on or through the Website or Services, including content within the D.I.C.K. Vault and L.A.I.D. Challenges.

• "Member" means a User who has registered and paid for access to the G.Spot C.U.M.M.Unity membership community.

• "Community" refers to the G.Spot C.U.M.M.Unity, the online membership space provided by ForeplAI Factory.

• "D.I.C.K. Vault" (Digital. Income. Content. Kits.) refers to the repository of digital products and resources provided to Members.

• "Intellectual Property" means all patents, copyrights, design rights, trademarks, service marks, trade secrets, know-how, database rights, and other rights in the nature of intellectual property rights (whether registered or unregistered) and all applications for the same, anywhere in the world.

• Permitted Use: You are granted a non-exclusive, non-transferable, revocable license to access and use the Website strictly in accordance with these Terms. You may use the Website for your personal, non-commercial use or legitimate business purposes related to your potential or actual membership.

• Prohibited Activities: You agree not to:

  • Use the Website in any way that violates any applicable federal, state, local, or international law or regulation.

  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm ForeplAI Factory or users of the Website or expose them to liability.

4.1. Eligibility and Registration
To become a Member of the G.Spot C.U.M.M.Unity, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to refuse or cancel membership in our sole discretion.
4.2. Membership Benefits ("What You Get")
As a Member of the G.Spot C.U.M.M.Unity, you will receive access to a variety of resources and benefits, which may include, but are not limited to:

• Access to the exclusive G.Spot C.U.M.M.Unity online community platform.

• Access to the D.I.C.K. Vault (Digital. Income. Content. Kits.) containing done-for-you digital products, templates, and other resources, subject to the PLR/MRR License Agreement (see Section IV below).

• Participation in L.A.I.D. Challenges (Learn. Apply. Innovate. Dominate.) which are live and interactive sessions focused on practical application and skill-building.

• Benefits associated with the B.A.B.E. Membership (Boss. Affiliate. Brand. Earner.), including potential affiliate earning opportunities (see Section V below).

• Educational content and training on using AI tools for business development.

• Support and networking opportunities with other members and the ForeplAI Factory team.

The specific benefits and resources are subject to change at our discretion. We will make reasonable efforts to notify Members of significant changes to membership benefits.
4.3. Membership Fees, Payments, and Billing

• Subscription Fees: Membership fees are as stated at the time of your subscription (e.g., $69/month for Founding Members, $129/month standard rate, or other promotional rates as offered). All fees are in USD unless otherwise specified.

• Billing Cycle: Membership is typically billed on a recurring monthly basis. Your subscription will automatically renew each month unless cancelled by you or terminated by us in accordance with these Terms.

• Payment Authorization: By providing your payment information, you authorize us (or our third-party payment processor) to charge your chosen payment method for all applicable fees on a recurring basis.

• Accepted Payment Methods: We accept payment methods as indicated on our Website at the time of purchase.

• Failed Payments: If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the Services. You remain responsible for any uncollected amounts.

• Price Changes: We reserve the right to change our subscription fees. Any price changes will apply to subsequent billing cycles after providing you with reasonable advance notice.

• Additional Fees for Special Services/Events: From time to time, ForeplAI Factory may offer special events, workshops, guest speaker sessions, conferences, or other premium services that are outside the scope of the standard G.Spot C.U.M.M.Unity membership. Participation in such offerings may require an additional fee or be offered at a reduced rate for Members. Any such fees will be clearly communicated in advance.

• Taxes: All fees are exclusive of applicable federal, state, local, or other governmental sales, goods and services, harmonized or other taxes, fees, or charges now in force or enacted in the future ("Taxes"). You are responsible for all applicable Taxes that arise from or as a result of your subscription or purchase of ForeplAI Factory products and services. If ForeplAI Factory is required to collect or pay Taxes, these Taxes may be added to your membership fees or other charges and will be invoiced to you, unless you provide ForeplAI Factory with a valid tax exemption certificate authorized by the appropriate taxing authority.

4.4. Refund Policy
ALL SALES ARE FINAL. DUE TO THE DIGITAL NATURE OF OUR PRODUCTS AND SERVICES, AND THE IMMEDIATE ACCESS PROVIDED TO OUR CONTENT AND COMMUNITY, WE MAINTAIN A STRICT NO REFUND POLICY. BY COMPLETING YOUR PURCHASE, YOU ACKNOWLEDGE AND AGREE THAT YOU WILL NOT BE ENTITLED TO A REFUND FOR ANY REASON, INCLUDING BUT NOT LIMITED TO DISSATISFACTION WITH THE SERVICES OR CANCELLATION OF YOUR MEMBERSHIP.
4.5. Cancellation and Termination of Membership

• Your Right to Cancel: You may cancel your membership at any time by following the cancellation procedures outlined on our Website or by contacting us. Cancellation will take effect at the end of your current billing cycle, and you will retain access to the Services until that date. No refunds will be provided for partial billing periods or for cancellations made close to an automatic payment collection date if the payment process has already been initiated. Under rare circumstances of extreme hardship or technical error leading to an unintended charge immediately after a cancellation request, we may consider a refund on a case-by-case basis, at our sole discretion.

• Our Right to Terminate: We reserve the right to suspend or terminate your membership and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or the Community Rules. If we terminate your membership for cause, you will not be entitled to any refund of unused subscription fees.

• Effect of Cancellation/Termination: Upon cancellation or termination of your membership:

  • Your access to the G.Spot C.U.M.M.Unity, all community resources, and the D.I.C.K. Vault (including any licenses to use its digital products) will be immediately revoked.

  • Any active affiliate status will be terminated, and you will cease to earn affiliate commissions from that point forward. Accrued commissions prior to termination will be paid according to the Affiliate Program Terms, provided no terms were violated.

  • If you choose to rejoin the Community at a later date, you will be subject to the then-current membership fees and terms. You will not automatically regain access to any previous affiliate commission rates or status.

4.6. Community Rules and Code of Conduct
As a Member of the G.Spot C.U.M.M.Unity, you agree to abide by the following rules:

• Respect and Professionalism: Treat all members and ForeplAI Factory staff with respect, courtesy, and professionalism. Discriminatory, hateful, or derogatory language or behavior will not be tolerated.

• No Unauthorized Sharing: You may not share, distribute, sell, or otherwise make available any content, resources, or materials from the Community or the D.I.C.K. Vault to non-members or outside the Community without explicit written permission from ForeplAI Factory. This includes login credentials.

• No Bullying or Harassment: Bullying, harassment, intimidation, or personal attacks of any kind are strictly prohibited.

• No Unsolicited Promotions: You may not use the Community for unsolicited promotion of your own products, services, or external businesses unless expressly permitted in designated areas or contexts by ForeplAI Factory.

• No Unsolicited Contact: Do not message or contact other members for promotional purposes without their prior consent.

• Appropriate Language and Behavior: Maintain a positive and supportive environment. Offensive, abusive, obscene, or otherwise objectionable language or content is not permitted.

• Confidentiality: Respect the privacy and confidentiality of other members and any sensitive information shared within the Community.

• Compliance with Laws: You must comply with all applicable laws in your use of the Community.

Violation of these Community Rules may result in a warning, suspension, or immediate termination of your membership without refund, at our sole discretion.
4.7. Intellectual Property Rights

• Our Content: All Content provided by ForeplAI Factory through the Website and Services, including text, graphics, logos, images, audio clips, video, data, software, and other material, is the property of ForeplAI Factory or its content suppliers and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal development and business growth in connection with your membership, subject to these Terms and any specific license terms (e.g., PLR/MRR License for D.I.C.K. Vault products).

• Restrictions: You may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any Content from the Services without our prior written permission, except as expressly permitted under specific license terms (e.g., PLR/MRR License).

4.8. User-Generated Content
If you post, upload, input, provide or submit your personal data to us, including without limitation, your name, email address, IP address, navigator, and any other information and/or data that may be considered as personal data which may be visible to other Members within the Community (collectively “User-Generated Content”), you grant ForeplAI Factory a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User-Generated Content within the Community and for the purpose of operating and promoting the Services. You represent and warrant that you own or otherwise control all ofthe rights to your User-Generated Content and that use of your User-Generated Content by us will not infringe upon or violate the rights of any third party.
4.9. Image and Likeness Release
By participating in the G.Spot C.U.M.M.Unity, including live sessions, and by submitting testimonials, comments, or other content that may include your image, voice, or likeness, you grant ForeplAI Factory the perpetual, worldwide, royalty-free, irrevocable right and license to use, reproduce, distribute, display, and create derivative works of your image, likeness, voice, name, and any testimonials or contributions you provide, in whole or in part, in any and all media now known or hereafter developed, for any promotional, marketing, advertising, educational, or other legitimate business purposes of ForeplAI Factory. This includes, but is not limited to, use on our Website, social media channels, brochures, advertisements, and other promotional materials.
If you have provided an image for use on our Website or in promotional materials that is considered public use (e.g., a profile picture you uploaded) and you wish to request its removal, you may contact us at getlaid@foreplaifactory.com. We will make reasonable efforts to accommodate such requests where feasible and appropriate, but we are not obligated to remove content that has already been widely distributed or where removal is not practical.
4.10. Use of Third-Party and PLR/MRR Content
ForeplAI Factory may utilize content, including but not limited to images, screenshots, video, AI-generated creations, prompts, automation workflows, text, weblinks, design elements, and colors, that is sourced from third parties, including materials obtained under Private Label Rights (PLR) or Master Resell Rights (MRR) licenses. We make efforts to use such materials in accordance with the terms of their respective licenses and rely on our vendors' assurances that such materials are cleared for our use and for any subsequent use permitted by us to our Members (e.g., under our PLR/MRR License Agreement for D.I.C.K. Vault products).
We respect the intellectual property rights of others. If you believe that any content on our Websites or within our Services, including content derived from PLR/MRR materials, infringes upon your copyright or other intellectual property rights, and such use was unintentional and unbeknownst to us, please notify us immediately at getlaid@foreplaifactory.com. Please provide a detailed description of the allegedly infringing material and your basis for the claim. We will investigate the matter and, if appropriate, take steps to remove the infringing material or provide proper attribution if the use is permissible under fair use, public domain, or with consent.
4.11. Merchandise and Gifts
From time to time, ForeplAI Factory may offer merchandise (such as t-shirts, hats, coffee mugs, water bottles, etc.) for sale. All sales of merchandise will be subject to the specific terms of sale provided at the time of purchase, including pricing, shipping, and any applicable return policies (which may differ from the no-refund policy for digital services).
ForeplAI Factory may also, at its sole discretion, provide gifts to Members or other individuals for various reasons, such as acknowledging milestones, expressing condolences, or as part of promotional activities. The provision of any gift does not create any obligation for future gifting or imply any specific value or entitlement.
4.12. Nature of Content and Community Environment (Provocative Language & Imagery)
YOU ACKNOWLEDGE AND AGREE THAT THE FOREPLAI FACTORY BRAND, WEBSITE, COMMUNITY, AND ALL RELATED CONTENT AND COMMUNICATIONS (INCLUDING MARKETING MATERIALS, LIVE EVENTS, AND TEACHINGS) INTENTIONALLY EMPLOY PROVOCATIVE, EDGY, AND SENSUAL LANGUAGE AND IMAGERY. THIS MAY INCLUDE THE USE OF CURSING, DOUBLE ENTENDRES, AND TOPICS OF A MATURE NATURE. THIS APPROACH IS A UNIQUE AND INTENTIONAL ASPECT OF OUR BRAND IDENTITY AND IS DESIGNED TO BE AN INDUSTRY DISRUPTOR.
By becoming a Member or using our Services, you affirm that you are comfortable with this style of communication and content and agree to participate in an environment where such language and imagery are present. You acknowledge that operating a live and interactive community like the G.Spot C.U.M.M.Unity, providing ongoing support, and developing high-quality content requires significant physical and mental effort from Dee Yearby and the ForeplAI Factory team. The membership pricing structure takes into account the need for periodic "days off" or reduced availability for research, learning, content creation, personal refreshment, and resetting. This is essential to ensure we can continue to provide the best possible service and support to the Community. While we strive for consistent service availability, there may be scheduled periods of reduced live interaction, specific response times for support, or temporary unavailability of certain live features. We will endeavor to communicate any significant periods of reduced availability in advance where practical.
